1. Acceptance of Terms

By creating an account, accessing our website at readypermit.ai, or using any ReadyPermit services ("Services"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

ReadyPermit™ AI ("ReadyPermit," "we," "us," or "our") reserves the right to modify these Terms at any time. We will notify users of material changes via email or through prominent notices on our website. Continued use of the Services after changes constitutes acceptance of the modified Terms.

2. Account Registration and Responsibilities

Account Creation

To use certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Be at least 18 years old or have parental consent

Account Security

You are responsible for all activities that occur under your account. ReadyPermit is not liable for any loss or damage arising from your failure to maintain account security. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

3. Service Plans and Billing

Subscription Plans

ReadyPermit offers various subscription plans with different features and usage limits. Plan details, pricing, and features are available on our Pricing page.

Payment Terms

• All fees are in US Dollars and charged in advance
• Subscriptions automatically renew unless cancelled before the renewal date
• You authorize us to charge your payment method on file for renewal
• One-time report purchases are non-refundable after report generation
• Unused report credits do not roll over between billing periods

Refund Policy

Refunds are considered on a case-by-case basis within 7 days of purchase for one-time reports or within the first billing cycle for new subscriptions. To request a refund, contact landon@readypermit.ai or carson@readypermit.ai with your account details and reason for the request.

Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at your next billing cycle. We reserve the right to modify pricing with 30 days notice.

4. Acceptable Use Policy

You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services for any illegal, fraudulent, or malicious purpose
• Attempt to gain unauthorized access to our systems or user accounts
• Reverse engineer, decompile, or disassemble any part of the Services
• Resell, redistribute, or sublicense access to the Services without permission
• Scrape, harvest, or collect data from the Services using automated means
• Transmit viruses, malware, or other harmful code
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Services or servers
• Exceed API rate limits or abuse system resources

Violations may result in immediate account suspension or termination without refund.

5. Intellectual Property Rights

Our Intellectual Property

All content, features, functionality, software, designs, text, graphics, logos, and trademarks on the Services are owned by ReadyPermit or our licensors and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without explicit written permission.

License to Use Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

Generated Reports

You retain ownership of reports you generate using our Services. We grant you a perpetual, worldwide license to use, modify, and distribute your generated reports. However, the underlying data remains subject to the terms of our data providers.

Service Description

ReadyPermit provides software tools that analyze public records, third-party data sources, and user-supplied information to generate zoning, buildability, and permitability insights for real property. Our services do not create, modify, or replace any official government records or determinations.

No Guarantee of Accuracy

While we strive for high quality and keep our systems up to date, ReadyPermit does not guarantee that any information, analysis, or recommendation made available through our website, applications, reports, or GEO is accurate, complete, current, or suitable for any particular purpose. Data may be incomplete, outdated, incorrect, unavailable, or interpreted differently by the relevant authorities.

Not Professional Advice

ReadyPermit is not a government agency, law firm, engineering practice, or financial advisor. Nothing in our products or communications constitutes legal, engineering, financial, or other professional advice, nor any official approval, permit, zoning determination, or entitlement. You should consult the applicable city, county, state, or other authority, and/or qualified professionals (including land use attorneys, planners, engineers, surveyors, and accountants) before relying on any output from ReadyPermit to make legal, financial, or construction decisions.

AI and Automated Systems

Our products may use artificial intelligence ("AI") and automated systems to process data and generate narratives. AI outputs can be wrong, incomplete, or inconsistent, and may misinterpret source documents or regulatory texts, especially where codes change or where underlying data is ambiguous or missing. You are solely responsible for reviewing and validating all outputs and assumptions before acting on them.

Third-Party Data Sources

Certain information is obtained from third-party providers and public APIs (including but not limited to property data, GIS layers, zoning datasets, environmental and hazard maps, and market data). Those providers may change or withdraw their services at any time. ReadyPermit makes no warranty regarding the availability, completeness, reliability, or accuracy of any third-party data and disclaims all responsibility for errors, omissions, outages, or delays attributable to such providers.

User Responsibility and Liability

By using ReadyPermit, you acknowledge that you use our tools at your own risk and that you remain solely responsible for all decisions and actions you take. To the maximum extent permitted by law, ReadyPermit and its officers, employees, contractors, and partners shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to your use of (or inability to use) our products, even if we have been advised of the possibility of such damages.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, READYPERMIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Property acquisition or development losses
• Data loss or corruption
• Business interruption
• Cost of substitute services

Our total liability for any claims arising from these Terms or use of the Services shall not exceed the amount you paid to ReadyPermit in the 12 months preceding the claim or $500, whichever is greater.

8. Indemnification

You agree to indemnify, defend, and hold harmless ReadyPermit, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from: (a) your use or misuse of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any property development or business decisions made based on information obtained through our Services.

9. Termination

Termination by You

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

Termination by Us

We may suspend or terminate your account immediately without notice if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay required fees
• Engage in fraudulent or illegal activity
• Pose a security or legal liability

Effect of Termination

Upon termination, your right to access the Services ceases immediately. We may delete your account data after 30 days. Provisions regarding intellectual property, disclaimers, indemnification, and limitations of liability survive termination.

10. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our privacy practices.

11. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Arbitration

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, rather than in court. The arbitration shall be conducted in Delaware, and judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions, class arbitrations, or representative actions.

12. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ReadyPermit regarding the Services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.
